Terms of Use (the “Terms”)

Pathways.org (also, referenced herein as “we”, “us”, “our”, etc.) is a national 501(c)(3) nonprofit public charity that promotes early detection and early intervention for children with sensory, communication, and motor delays. Pathways.org is celebrating over 30 years of assuring the best for all babies’ development. Pathways.org is uniquely dedicated to increasing knowledge about the gift of early detection and the benefit of early therapy for infants and children with early delays. We honor and support their parents by providing knowledge, information and a sense of community as they guide their children on life’s journey.
Pathways Center is a fully equipped, state-of-the-art, nonprofit clinic in Glenview, Illinois. Pathways Center offers pediatric physical, speech and occupational therapy and has shown families the effects that best practice interventions can have on a child’s life. With a highly trained and dedicated staff, Pathway Center also leads continuing education courses and conducts research onsite, making it a true center of excellence.
Pathways TEAM Belong program assists congregations of all faith traditions to include people with physical, sensory, mental or emotional differences into all aspects of faith life.
Your visit to and use of www.pathways.org (the ”Site”) and any mobile applications provided by Pathways.org (together with the Site, the “Services”) are subject to these Terms delineated below and the Privacy Policy (which is hereby incorporated by reference into these Terms), as well as all applicable laws and regulations. The Services and its contents are accessible to users worldwide. We make no claims that the Services or any Materials (as defined below) are accessible or appropriate outside of the United States. Access to the Services may not be legal by certain persons or in certain countries. If you access the Services from outside the United States, you do so on your own initiative and are responsible for compliance with local laws. By accessing and using the Services, you agree to be bound by these Terms, which are governed by the laws of the United States, regardless of your location. Please read these Terms with care because this is a legally binding agreement between you and Pathways.org, the owner and operator of the Services. We may revise these Terms at any time without notice by updating this posting. Your continued use of the Services or any Materials (as defined below) after such modifications have been made will constitute your acceptance of such revised Terms.
The information available on the Services is not intended to be, nor is it, medical advice. Our goal is to provide information that is helpful, accurate, and current, but knowledge in the field of early childhood development and developmental medicine is growing rapidly. Therefore, all data are subject to change without notice. No endorsements of any third-party products or services which appear through the Services are given or implied by Pathways.org. Pathways.org does not endorse any specific medical regime. You should not change your medical schedules or activities based on the information provided through the Services. Always consult with a doctor, healthcare provider, or other medical professional before making any medical decisions.
BY ACCESSING OR USING THE SERVICES AND/OR PLACING AN ORDER FOR PRODUCTS AND SERVICES, YOU ARE AGREEING TO BE LEGALLY BOUND BY THESE TERMS OF USE.
THE SERVICES AND MATERIALS
The Services are made available for your personal, non-commercial use only. All materials, content, text, images, illustrations, graphics, designs, audio, video and information on or available through the Services and the software and code that comprise and operate the Services (the “Materials”), are the property of Pathways.org and its licensors. Pathways.org and its licensors own all right, title and interest in the Materials, including all copyrights.
Except as explicitly provided in this Agreement, you may not distribute, transmit, display, reproduce, modify, create derivative works from, or otherwise exploit any of the Materials. You may use and print a single copy of any page or illustration available in the Services for your personal, non-commercial use, but you may not otherwise reproduce any Material appearing through use of the Services, including for any commercial purpose. You may not store or distribute any additional copies, or a significant portion of any Materials (whether available with or without a fee) found through use of the Services, in any form (including electronic form), without prior written permission from us. You may contact us using our “Contact Us” link on the Site to request permission to reproduce or distribute materials found through use of the Services.
You understand and agree that we may modify the Services or any Materials, including adding Materials, removing Materials or changing Materials, or any functionality of the Services, at any time, in our discretion, with or without notice to you.
The rights granted to you in these Terms are subject to the following restrictions, you may not: (a) license, sell, rent, lease, transfer, assign, reproduce, distribute, host, copy, edit, create derivative works, adapt, translate, reformat, derive, emulate, exploit, republish, download, display, post, transmit, or otherwise commercially exploit the Services or any Materials or any associated or underlying software code and functionality; (b) modify, translate, adapt, merge, make derivative works of, disassemble, decompile, reverse compile or reverse engineer any part of the Services or the Materials, or any associated underlying code and functionality, except to the extent the foregoing restrictions are expressly prohibited by applicable law; (c) use any manual or automated software, devices or other processes (including but not limited to spiders, robots, scrapers, crawlers, avatars, data mining tools or the like) to "scrape" or download any information in the Services or any in any Materials; (d) remove or destroy any copyright notices or other proprietary markings contained on or in the Services or any Materials; (e) interfere with or attempt to interfere with the proper functioning of the Services; (f) yourself affect or permit a third party to affect the availability of our Services, including but not limited to, by violating or attempting to violate any related security features, introducing viruses, worms, or similar harmful code in the Services, or interfering or attempting to interfere with use of the Services by any other user, host or network, including by means of overloading, "flooding," "spamming," "mail bombing," or "crashing" the Services; or (g) use the Services or Materials in any way that violates applicable laws. Any unauthorized use of the Services or any Materials may result in your immediate termination of the licenses granted to you under these Terms.
FEE PRODUCTS
From time to time, we may offer certain products and services to you, which may only be accessed or used after the payment of a fee (“Fee Product”). Subject to your continued and full compliance with these Terms, if you purchase a Fee Product, we hereby grant you a limited, non-exclusive, revocable, non-transferrable and non-assignable license to use the Fee Product for your personal, non-commercial use. You may not copy or distribute the Fee Product or any portion thereof.
You are responsible for the payment of all fees due to us. We may change those fees at our sole discretion from time to time. The fees exclude all applicable taxes, unless otherwise stated. All purchases are final and non-refundable. If you believe that we have charged you in error, you must contact us within fifteen (15) days of such charge. No refunds will be given for charges more than thirty (30) days old. We reserve the right to issue refunds or credits at our sole discretion. If we issue a refund or credit, we are under no obligation to issue the same or similar refund or credit in the future. This refund policy does not affect any statutory rights that may apply. All amounts are due and payable when you place an order. You shall reimburse us for the reasonable costs of collection, including legal fees and expenses. You agree to permit us to use your account information regarding your selected payment method for such payment. You agree to provide accurate payment and contact information to us so that we can complete your transactions and contact you as needed in connection with your transactions.
You are responsible for any taxes and will pay us such amounts without any reduction for such amounts. If we are obligated to collect or pay taxes, we will include such taxes at the time of payment. If you are required by law to withhold any taxes from your payments to us, you must provide us with official documentation to support such withholding.
TERMINATION
Unless otherwise agreed to in writing, or otherwise terminated by us in advance (with or without providing notice to you) these Terms shall continue until the expiration or termination of your use of the Services and Materials.
DISCLAIMERS; LIMITATIONS OF LIABILITY
Please note that Pathways.org does not employ medical personnel in their national office. If you have a specific medical question, please contact your physician.
YOUR USE OF THE SERVICES AND THE MATERIALS ARE AT YOUR OWN RISK. THE SERVICES AND ALL MATERIALS ARE PROVIDED TO YOU ON AN “AS IS” AND “WHERE-IS” BASIS, WITHOUT ANY WARRANTY OF ANY KIND. WE, ON BEHALF OF OURSELVES AND ANY THIRD PARTY PROVIDING MATERIALS, SERVICES, OR CONTENT TO THE SERVICES, MAKE NO REPRESENTATIONS OR WARRANTIES IN CONNECTION WITH THE SERVICES AND THE MATERIALS, INCLUDING BUT NOT LIMITED TO THE QUALITY, SUITABILITY, TRUTH, ACCURACY, SECURITY, AVAILABILITY, OR COMPLETENESS OF ANY MATERIALS, INFORMATION, PRODUCT, OR SERVICE CONTAINED ON THE SERVICES. ALL CONDITIONS, REPRESENTATIONS AND WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT OF THIRD PARTY RIGHTS, ARE HEREBY DISCLAIMED.
WE WILL NOT BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO, DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, ARISING FROM OR CONNECTED WITH THE SERVICES, INCLUDING (BUT NOT LIMITED TO) YOUR USE OF THE SERVICES OR YOUR INABILITY TO USE THE SERVICES, EVEN IF WE HAS PREVIOUSLY BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
NOTWITHSTANDING ANYTHING TO THE CONTRARY IN THESE TERMS OR THE FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY, IF YOU HAVE ANY BASIS FOR RECOVERING DAMAGES (INCLUDING BREACH OF THESE TERMS), YOU AGREE THAT YOUR EXCLUSIVE REMEDY IS TO RECOVER FROM US (INCLUDING OUR AFFILIATES’, OFFICERS’, DIRECTORS’, SHAREHOLDERS’, EMPLOYEES’, AGENTS’, SUPPLIERS’, REPRESENTATIVES’, LICENSORS’, AND THIRD PARTY SERVICE PROVIDERS’) DIRECT DAMAGES UP TO $100.00 UNITED STATES DOLLARS. YOU CANNOT RECOVER ANY OTHER DAMAGES OR LOSSES. THESE LIMITATIONS AND EXCLUSIONS APPLY EVEN IF THIS REMEDY DOESN’T FULLY COMPENSATE YOU FOR ANY LOSSES OR FAILS FOR ITS ESSENTIAL PURPOSE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THESE LIMITATIONS AND EXCLUSIONS APPLY TO ANYTHING OR ANY CLAIMS RELATED TO THESE TERMS, THE MATERIALS OR THE SOFTWARE AND SERVICES USED IN CONNECTION WITH THE SERVICES.

INDEMNIFICATION
You agree to indemnify, defend and hold us, and our corporate parents, subsidiaries, and affiliates, and the officers, directors, employees, agents, representatives, partners and licensors of each (collectively, the "Pathways Parties") harmless from and against any and all losses, costs, damages, liabilities and expenses, including (without limitation) attorney’s fees and costs of defense, incurred in relation to, arising from, or for the purpose of avoiding, any claim or demand concerning: your use of the Services and Materials; your breach of these Terms; or your violation of any applicable law or regulation. We reserve the right, at our own cost, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you.
USER SUBMISSIONS
We welcome your comments, feedback, suggestions, and other communications regarding the Services, including your ideas for new features and other ways that we can make the Services more useful to you (collectively, "User Submissions"). You agree that you will not send, upload, or transmit any User Submission that, in whole or in part: (a) is defamatory, indecent, harassing, or otherwise objectionable, (b) infringes or violates any rights of any party, or (c) contains a virus or corrupted data. You further agree that any User Submissions transmitted or provided to us through use of the Services (including but not limited to, “Report a Bug” submissions on the Site or Pathways.org App, emails to friends@pathways.org, or any other content or communications submitted to Pathays.org), or posted to the Site, will be owned exclusively by Pathways.org and is non-confidential. Your submission of User Submissions will constitute an assignment to us of all right, title and interest in your User Submission, including all worldwide copyrights and all other intellectual property rights in your User Submission. We will have the right to reduce to practice, exploit, make, use, copy, disclose, display or perform publicly, distribute, improve and prepare derivative works based on any User Submission you submit for any purpose whatsoever, without restriction and without compensating you in any way. For this reason, we ask that you not send us any User Submission that you do not wish to assign to us.
DONATIONS
Pathways.org is a Section 501(c) (3) charitable organization, EIN 52-2456469. All donations are deemed tax-deductible absent any limitations on deductibility applicable to a particular taxpayer. No goods or services were provided in exchange for your contribution.
INTELLECTUAL PROPERTY RIGHTS
The trademarks Pathways Awareness, Pathways Awareness Foundation, Pathways.org, Pathways Center, Pathways Inclusion in Worship, TEAM Belong, Babypathways.org and any corresponding logos, on the Site and in the Services and Materials, are the property of, licensed to, promoted or distributed by Pathways.org.
As between you and us, all Materials are subject to copyright protection and we retain all rights, title and interest, including all intellectual property rights, in and to such Materials.

APPLICABLE LAWS AND VENUE

Nothing in these Terms shall be construed to create a partnership, joint venture, agency relationship, or similar business relationship between the parties. Neither party is a legal representative of the other party, and neither party can assume or create any obligation, representation, warranty, or guarantee, express or implied, on behalf of the other party for any purpose whatsoever and will have no power to bind the other party without its prior written consent. You may not assign or transfer these Terms, in whole or in part, without our prior written consent, and if consent is provided, only if the assignee agrees in writing to be bound by the terms of the then-current version of these Terms. Any attempted assignment or transfer in violation of this section will be null and void. Notwithstanding the foregoing, these Terms shall inure to the benefit of the successors and permitted assigns of the parties. Except as set forth in these Terms, the exercise by us of any remedy under these Terms will be without prejudice to our other remedies under these Terms or otherwise. These Terms are intended for the sole and exclusive benefit of you or us and is not intended to benefit any third party. Only the parties to these Terms may enforce it.
